ReelDx, Inc. (“ReelDx” or “we”) provides the content posted on the ReelDx.com website and other related websites (the “ReelDx Website”) to you subject to the following Terms of Use. When you use the ReelDx Website, you agree to be bound by these Terms of Use. These Terms of Use incorporate the ReelDx Privacy Policy posted on the ReelDx Website, as well as the terms of any subscriber agreement that may exist between you and ReelDx. To the extent there is a conflict between these Terms of Use and your subscriber agreement, the terms of your subscriber agreement will control your use of the ReelDx Website. Please read these Terms of Use carefully. If you do not agree with these Terms of Use, please do not use the ReelDx Website.
The ReelDx Website
The ReelDx Website, including the text, graphics, and software that appear on the ReelDx Website, is owned by or licensed to ReelDx, and is subject to copyright and other intellectual property rights under United States, foreign laws and international conventions.
Users may not re-post ReelDx’s content on other web sites without the permission of ReelDx. User cannot re-sell ReelDx’s content to third parties, or prepare derivative works of ReelDx’s content.
Users may not share their log in information with other parties. A single ReelDx license can only be used by a single user - the transfer of these licenses must be approved by ReelDx staff.

Allowed Uses
ReelDx encourages you to incorporate ReelDx into your curriculum and training as part of a Classroom Edition subscription. If you are using an individual ReelDx subscription to present cases in a teaching setting, we ask that you contact us for pricing options.
We reserve the right to limit or suspend your use of the ReelDx Website, by electronic self-help or other means and without notice, if we believe you have committed a breach of security or violated these Terms of Use, subject only to any terms in your subscriber agreement, as applicable.
In using the ReelDx website you agree that you will not upload or transmit any communications or content of any type that may infringe upon, misappropriate or violate any rights of any party. Accordingly, the following actions shall constitute a material breach of these Terms of Use:
Logging into a ReelDx subscriber account as, or pretending to be, another person
Distributing login credentials or discount codes in excess of the authorized users described in any Commercial Edition – Terms of Sale
Transmitting messages or material that infringes or violates the intellectual property rights of others or the privacy or publicity rights of others
Transmitting material that is unlawful, obscene, defamatory, predatory of minors, threatening, harassing, abusive, slanderous, or hateful to any person or entity
Using the ReelDx Website in any way that is intended or is reasonably likely to harm any person
Collecting information about other persons without their prior consent
Intentionally distributing computer viruses or any other harmful computer code.
ReelDx reserves all of its rights in the ReelDx Website not expressly granted to you by these Terms of Use.
Subscriber Accounts
If you create a subscriber account for the ReelDx Website, you agree to complete the registration process by providing current, complete, and accurate information as required by ReelDx. You are responsible for all activities that occur under your account. Your user ID and password must not be shared with any third party. It is your responsibility to keep your ID and password safe and secure, and to immediately change your password anytime you believe that its security may have been compromised. You agree to notify ReelDx immediately of any unauthorized use of your account or any other breach of security. ReelDx will not be liable for any loss that you may incur as a result of someone else using your account, either with or without your knowledge. In addition, you may be held liable for any losses incurred by ReelDx or another party due to someone else using your account. You may not use anyone else’s account at any time.
Privacy
These Terms of Use incorporate the entirety of the ReelDx Privacy Policy.
No Unlawful Use
You agree not to use the ReelDx Website for any purpose that is unlawful or prohibited by these terms, or the terms of a subscriber agreement you have with ReelDx, if applicable. You may not use the ReelDx Website in any manner that could damage, disable, overburden, or impair any ReelDx server, or the network(s) connected to any ReelDx server, or interfere with any other party’s use and enjoyment of the ReelDx Website. You may not attempt to gain unauthorized access to any portion of the ReelDx Website, other accounts, computer systems, or networks connected to any ReelDx server, through hacking, password or data mining, or any other means. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available to you on the ReelDx Website.
No Warranties
NEITHER REELDX, NOR ANY PARENT, SUBSIDIARY, AFFILIATE, DIRECTOR, EMPLOYEE, LICENSOR, LICENSEE, DISTRIBUTOR, SUPPLIER, AGENT, OR RESELLER OF REELDX (COLLECTIVELY, THE “REELDX ENTITIES”) MAKE ANY WARRANTY OR REPRESENTATION, EXPRESSED OR IMPLIED, WITH RESPECT TO THE REELDX SERVICES, WHICH ARE PROVIDED “AS IS”, OR WITH RESPECT TO THESE TERMS OF USE. THE REELDX ENTITIES EXPRESSLY EXCLUDE AND DISCLAIM ALL WARRANTIES, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, AND ANY WARRANTIES ARISING BY STATUTE OR OTHERWISE IN LAW OR FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USE OF TRADE. ANY STATEMENTS OR REPRESENTATIONS MADE BY ANY OTHER PERSON OR ENTITY ARE VOID. YOU ASSUME ALL RISK AS TO THE QUALITY, FUNCTION, AND PERFORMANCE OF THE REELDX WEBSITE.
Some states or other jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to you.
In addition, please note that the ReelDx Website may include technical inaccuracies or typographical errors. ReelDx has the right at any time to change, modify, add to, discontinue, or retire any aspect or feature of the ReelDx Website, including, but not limited to, hours of availability, equipment needed for access or use, or the availability of the ReelDx Services on any particular device or communications service. ReelDx has no obligation to provide you with notice of any such changes, and ReelDx is under no obligation to provide you with any support, error corrections, updates, upgrades, bug fixes, and/or enhancements of the ReelDx Website, except as provided by your subscriber agreement with ReelDx, if applicable.
Modifications
ReelDx may modify these Terms of Use from time to time and changes will be effective upon posting to the ReelDx Website. You agree to be bound by any modification of these Terms of Use when you use the ReelDx Website, effective after their posting to the ReelDx Website. It is therefore important that you review these Terms of Use regularly to ensure you are updated as to any changes.
Claim of Copyright Infringement
ReelDx respects the intellectual property of others. If you believe that your copyrighted work has been copied and is accessible on the ReelDx Website in a way that constitutes copyright infringement, pursuant to Title 17, United States Code, Section 512(c)(2), you may send a notification of claimed copyright infringement to ReelDx’s designated agent along with the following information:
the electronic or physical signature of the owner of the copyright or the person authorized to act on the owner’s behalf
a description of the copyrighted work that you claim has been infringed and a description of the infringing activity
identification of the location where the original or an authorized copy of the copyrighted work exists, for example the URL of the website where it is posted or the name of the book in which it has been published
identification of the URL or other specific location on this site where the material that you claim is infringing is located; you must include enough information to allow ReelDx to locate the material
your name, address, telephone number, and email address
a statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law

Subscription & License Agreement
By clicking the acceptance button, you agree to become bound by the terms of this Subscription and License Agreement (this “Agreement”). If you do not agree to these terms, you must discontinue use or hit “decline.” READ THE FOLLOWING USE CONDITIONS AND DISCLAIMERS IN THIS AGREEMENT CAREFULLY BEFORE INDICATING YOUR ACCEPTANCE.
MEDICAL NON-PROFESSIONAL DISCLAIMER: YOU SHOULD OBTAIN PROFESSIONAL ADVICE: The ReelDx content and software (the “Licensed Materials”) have been created for trained healthcare professionals and assume specialized knowledge by users. The information provided in the Licensed Materials is no substitute for medical advice, diagnosis, or treatment by a healthcare provider based on individual patient assessment, including the healthcare provider’s examination of each patient and consideration of laboratory data and other factors unique to the patient. The Licensed Materials may be accessed and used (only as expressly permitted hereunder) as a reference to enhance your understanding of your healthcare provider’s diagnosis and treatment advice, bearing in mind that individual and unique circumstances may lead your healthcare provider to reach decisions not presented in the Licensed Materials. Use Of Professional Judgment
The editors and authors of the Licensed Materials have conscientiously and carefully tried to create professional medical content that conforms to the standards of professional practice that prevailed at the time of its creation. However, standards and practices in medicine change as new data become available and the individual medical professional should consult a variety of sources. When prescribing medications, use of medical devices, or any other treatment protocols, the user is advised to check the product information sheet accompanying each of these products to verify conditions of use and identify any changes in dosage schedule or contraindications, particularly if the agent to be administered is new, infrequently used or has a narrow therapeutic range.
License
ReelDx, Inc. (“ReelDx”), in consideration of the subscription fee paid by you or on your behalf, will grant you a non-exclusive, non-transferable limited license and right to access and use (only as expressly permitted hereunder) the Licensed Materials in accordance with the applicable subscription terms:
Individual: An individual subscription permits one individual to access and use the Licensed Materials for his or her own use only by using his or her unique user name and password to access the Licensed Materials from any location via the Internet.
Institutional Subscription: An Institutional Subscription permits only individuals who are employed by or affiliated with the relevant institution to access and use the Licensed Materials at any Internet-connected computer validated for such use by ReelDx, but only for the clinical, educational, or research purposes of the Institution. You shall ensure that the Licensed Materials are accessed only by Authorized Users affiliated with you. Authorized Users include physician staff, faculty, residents, nurses, librarians and other staff and medical professionals who are employed by or affiliated with your organization, or who provide medical services to patients at your organization’s facilities.
Ownership
The Licensed Materials are the sole and exclusive property of ReelDx (or its parents, subsidiaries, affiliates, or designees) or its suppliers. By indicating that you accept these terms, you do not become the owner of the Licensed Materials, but are entitled to use them according to the terms of this Agreement.
Subscription Term
You have obtained the right to use and access the Licensed Materials for a specific limited period of time, i.e., the subscription period, as determined by your enrollment form. At the end of this period, your license and your associated rights, such as technical support, will expire automatically, unless you have renewed your subscription on ReelDx’s then-current terms. The Agreement and your license to use the Licensed Materials will also terminate if you fail to comply with any term or condition in this Agreement. ReelDx’s limitations of liability and disclaimers as well as the provisions of the section titled “General” shall survive expiration or termination of this Agreement.
Cancellation Policy
Once you have purchased a subscription to ReelDx there is no refund available. If you cancel the service it will no longer renew at the end of the subscription term, but there will be no refund available.
Permitted Uses And Prohibitions
The intellectual property, including without limitation any and all rights under copyright, in the Licensed Materials is owned by ReelDx. Copying of the Licensed Materials or any part thereof, inclusion in other software or content, reverse engineering, or modifications is expressly forbidden. No part of the Licensed Materials may be copied for resale or other commercial use, or posted on public bulletin boards, web sites, Internet domains, or online chatrooms. However, you may print out individual articles containing only insubstantial portions of the Licensed Materials from the most current version of the database and only for your personal reference (which may include communication of information to patients under your direct supervision, provided that you shall remain solely responsible for any and all use of such information) if you include a source reference to ReelDx and its copyright notice. ReelDx reserves the right in its sole discretion to change and or cancel an individual’s user name and password without notice in the event of concurrent logins at different computers, excessive search quantities or excessive download traffic volumes. ReelDx reserves the right in its sole discretion to limit, suspend and or cancel individual’s access to the Licensed Materials without notice in the event of multiple concurrent logins, excessive search quantities or download traffic volumes.
Restriction Against Transfer
You may not sublicense, assign, share, sell, rent, lease, or otherwise transfer your right to access or use the Licensed Materials.
No Warranty

ALL WARRANTIES ARE EXPRESSLY EXCLUDED AND DISCLAIMED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, WARRANTIES OF NON-INFRINGEMENT,AND ANY WARRANTIES ARISING BY STATUTE OR OTHERWISE IN LAW OR FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USE OF TRADE. ANY STATEMENTS OR REPRESENTATIONS MADE BY ANY OTHER PERSON OR ENTITY ARE VOID. YOU ASSUME ALL RISK AS TO THE QUALITY, FUNCTION, PERFORMANCE, AND ACCURACY OF THE LICENSED MATERIALS.
Limitation of Liability
IN NO EVENT WILL REELDX OR ANY REELDX ENTITIES BE LIABLE TO YOU OR ANY OTHER PARTY FOR ANY SPECIAL, INDIRECT, INCIDENTAL, RELIANCE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF DATA OR PROFITS, OR FOR INABILITY TO USE THE LICENSED MATERIALS, WHETHER SUCH DAMAGES ARISE UNDER CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, AND EVEN IF REELDX OR SUCH OTHER PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL REELDX OR SUCH OTHER PARTY’S LIABILITY FOR ANY DAMAGES OR LOSS TO YOU OR ANY OTHER PARTY EXCEED THE LICENSE FEE YOU PAID FOR THE LICENSED MATERIALS.
Some jurisdictions do not allow limitations on how long an implied warranty lasts and some jurisdictions do not allow the exclusion or limitation of special, indirect, incidental, exemplary, or consequential damages, or the limitation of liability to specified amounts, so the above limitation and exclusion may not apply to you if prohibited by applicable law. You may also have other rights which vary from jurisdiction to jurisdiction. You agree that this Agreement shall not be subject to the United Nations Convention on Contracts for the International Sale of Goods.
General
If any provision of this Agreement is determined to be invalid or unenforceable under any applicable law, it shall be deemed omitted and the remaining provisions shall continue in full force and effect. This Agreement may be modified only in writing authorized by ReelDx. ReelDx’s waiver of any right shall not constitute a waiver of that or any other right in the future. This Agreement constitutes the entire understanding between the parties with respect to the subject matter hereof, and all prior agreements, representations, statements, and undertakings, oral or written, are hereby expressly superseded and canceled.
